Yorbs Ideas provides software development services specializing in web applications using React.js and Next.js. Our services include but are not limited to custom web application development, e-commerce solutions, enterprise management systems, and ongoing maintenance and support.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the project
• Respond to communications and requests in a timely manner
• Make payments according to the agreed schedule
• Review and provide feedback on deliverables within agreed timeframes
• Ensure you have the rights to any content or materials provided to us

4. Intellectual Property

Upon full payment, clients receive ownership of the custom code and designs created specifically for their project. However:

• We retain the right to use general coding techniques, tools, and methodologies
• Third-party libraries and frameworks remain subject to their respective licenses
• We may showcase the project in our portfolio unless otherwise agreed
• Pre-existing code and proprietary tools remain our property

5. Payment Terms

Payment terms will be specified in individual project agreements. General terms include:

• A deposit may be required before work begins
• Milestone payments may be structured based on project deliverables
• Final payment is due upon project completion
• Late payments may incur additional fees or work suspension

6. Project Timeline

Project timelines are estimates based on the scope of work at the time of agreement. Delays caused by client feedback, scope changes, or external factors may extend the timeline. We will communicate any significant changes to the schedule promptly.

7. Revisions and Changes

A reasonable number of revisions are typically included in project agreements. Significant changes to scope, features, or functionality may require additional fees and timeline adjustments. All change requests should be submitted in writing.

8. Confidentiality

We agree to keep confidential any proprietary information shared during the course of the project. This includes business strategies, trade secrets, and sensitive data. This obligation continues after the project is completed.

9. Limitation of Liability

Yorbs Ideas shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.

10. Warranty

We provide a warranty period (as specified in individual agreements) during which we will fix bugs and issues related to the delivered work at no additional cost. This warranty does not cover issues arising from client modifications, third-party integrations, or hosting environments.

11. Termination

Either party may terminate a project with written notice. In case of termination, the client is responsible for payment for all work completed up to the termination date. Any deposits paid may be non-refundable depending on the stage of the project.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be resolved in the appropriate courts of the Philippines.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
